Governance Framework

almeera Consumer Goods Company (Q.P.S.C.) is committed to maintaining the highest standards of corporate governance in accordance with the provisions of Qatar Commercial Companies Law No. 11 of 2015 (as amended) and the Corporate Governance Code issued by the Qatar Financial Markets Authority (QFMA). The Company's governance framework promotes transparency, accountability, responsible decision-making, and the protection of shareholder rights.

The Board of Directors has established specialized committees to support the effective discharge of its responsibilities. These committees operate under formal charters approved by the Board of Directors and in accordance with applicable regulatory requirements and governance best practices

The Audit Committee assists the Board of Directors in overseeing the integrity of the Company’s financial reporting process, internal control systems, and compliance with applicable laws and regulations. The Committee also oversees the performance and independence of the external auditors and the effectiveness of the internal audit function.

The Nomination and Remuneration Committee supports the Board in matters relating to Board composition, succession planning, and the remuneration framework for Directors and senior executives, ensuring alignment with the Company’s strategic objectives and governance standards.

The Executive Management team is responsible for the day-to-day management of the Company and the implementation of strategies and policies approved by the Board of Directors.

The Company maintains an enterprise risk management framework designed to identify, assess, and manage risks that may impact the achievement of its strategic objectives. Risk oversight is exercised by the Board of Directors with support from relevant Board committees and executive management.

The Company recognizes the importance of cybersecurity and information protection in maintaining the integrity of its operations and safeguarding stakeholder interests. Cybersecurity risks are monitored as part of the Company’s enterprise risk management framework.

The Company maintains policies and procedures designed to prevent insider trading and ensure compliance with applicable securities laws and regulations governing the trading of the Company’s shares.

Transactions involving related parties are conducted in accordance with applicable laws and regulations and are subject to appropriate review and approval procedures to ensure fairness, transparency, and protection of shareholder interests.
